CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT

By accessing this Virtual Data Room ("VDR"), you ("Recipient") acknowledge and agree to the following terms:

1. Confidential Information

All documents, financials, business plans, intellectual property, and other materials accessible through this VDR ("Confidential Information") are the proprietary and confidential property of Echo Money (formerly Onramp) and its affiliates.

2. Non-Disclosure

Recipient shall maintain strict confidentiality of all Confidential Information and shall not disclose, copy, share, or distribute it to any third party without prior written consent.

3. Permitted Use

The Confidential Information may be used solely for the purpose of evaluating a potential transaction, partnership, or investment with Echo Money. No other use is permitted.

4. No Reproduction

Recipient shall not download, print, screenshot, or otherwise reproduce any documents from this VDR without express written authorization.

5. Access Monitoring

All activity within this VDR is monitored and logged including, but not limited to, login attempts, document views, and session durations.

6. Return / Destruction

Upon request by Echo Money or upon termination of the evaluation process, Recipient shall promptly return or destroy all copies of any Confidential Information.

7. Legal Remedies

Any breach of this agreement may result in irreparable harm. Echo Money shall be entitled to seek injunctive relief and monetary damages.

8. Governing Law

This agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Echo Money is incorporated.
